To get results, I believe a commitment agreement is the best way to start. I am committed to providing you with the best care and expertise to help you achieve your fertility goals. I'd like your commitment to go through the program from start to finish with an open mind, open heart, and a willingness to follow your customized plan with my guidance.
Please review the details below so we can get started. This agreement includes the virtual consent form and details of the program. I am passionate about helping women reach their goals so they can live their best lives, and I want to make sure those I support are committed as well. We can achieve great things as a team, and I believe these next few months are going to be big ones for you!
This agreement (“Agreement”) is made effective immediately between and among the Practitioner and the Holistic Fertility Clinic, hereafter referred to as “the Practitioner,” or "the Company" and You, hereafter referred to as the “Client.”
The purpose of this Agreement is to set forth the details of the Parties relationship so that each are clear as to respective roles and how communication will take place so that the relationship will be positive, productive, and comfortable.
Therefore, the Practitioner and the Client agree as follows:
Terms
1. During the terms of this Agreement, the Practitioner agrees to provide consultations in accordance with the specific services set forth in the Private Fertility Support as outlined in Attachment A.
2. The services to be provided by the Practitioner to the Client are holistic and functional healthcare as designed jointly with the client.
3. Client is aware that Practitioner does not solve medical issues nor treat disease and is therefore not a replacement for Client’s therapist or physician. If Client is presently under any form of psychiatric care or specialized medical supervision, Client is to inform Practitioner prior to working together.
4. Practitioner and Client agree upon the Package through which consultations, preparation, and follow-up work (if necessary) are conducted. Dates are chosen collaboratively and adhered to upon signing the agreement.
5. Client agrees to cancel or reschedule a session more than 24 hours prior to scheduled session. If Client does not reschedule prior to this time, that session will be forfeited.
Methodology
Practitioner will employ a range of methodologies, including coaching and mentorship. Client agrees to be open minded and partake in methods proposed. Client understands that Practitioner makes no guarantees as to the outcome of the visits or program.
Payment
1. The Client will make payment via Stripe as outlined in Attachment A.
2. So that Client is fully invested in this Package, no refunds will be issued. Should Client decide not to continue with this Package at any time, full payment will still be due. Should Client not make payments, the Practitioner may pursue legal action.
3. Credit Card Authorization (if applicable for payment plan). Each Party hereto acknowledges that Practitioner will send an invoice or charge the credit card chosen by the Client on the dates and for the amounts specified in Attachment A. No sessions will be held until payment is made and if payment due is not paid within thirty (30) days of due date, Client forfeits any remaining sessions.
Disclaimers and Limitation of Liability
By participating in nutrition and fertility support services, Client acknowledges that the Practitioner is not a medical doctor, psychologist, or therapist and services do not replace the care of other professionals. Our work together is in no way to be construed or substituted as psychological counseling or any other type of therapy or medical advice. It is recommended that the Client consult their doctor before making any changes to a diet or exercise regime or taking any dietary supplements.
The Practitioner does not warrant the accuracy of any information provided, is not liable for any losses the Client may suffer by relying on coaching. The Practitioner will incorporate network and software security protocols to protect the privacy and security of health information, and will include measures to safeguard the data to ensure its integrity against intentional or unintentional corruption as is mandated by the Health Insurance Portability and Accountability Act (HIPAA).
The Practitioner may provide the Client with information relating to products that the Practitioner believes might benefit the Client, but such information is not to be taken as an endorsement. The Practitioner may make dietary and/or lifestyle suggestions, but these are wholly the Client’s responsibility and choice on whether to implement such changes. The Practitioner is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information or guidance provided.
The Practitioner may provide Client with third-party recommendations for such services as health, physical therapy, lifestyle, or other related services. Client agrees that these are only recommendations, and the Practitioner will not be held liable for the services provided by any third-party to the Client. The Practitioner is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information or services provided by a third-party.
Any testimonials or examples shown through Practitioner’s website, programs, and/or services are only examples of what may be possible for Client. There can be no assurance as to any particular outcome based on the use of Practitioner’s programs and/or services. Client acknowledges that Practitioner has not and does not make any representations as to the future result that may be derived as a consequence of use of Practitioner’s website, programs, products or services.
You are participating in online person coaching, classes or services during which You may receive information and instruction about physical activity, yoga, or similar and You acknowledge that activity may require physical exertion, which may be strenuous and may cause physical injury, and Client is fully aware of the risks and hazards involved. You acknowledge that it is Your responsibility to consult with a physician prior to and regarding participation in any physical fitness program. You represent and warrant that You have no medical condition that would prevent Your participation in physical fitness activities. Client agrees to assume full responsibility for any risks, injuries or damages, known and unknown, which You might incur as a result of participating in online coaching, classes or services. Client knowingly, voluntarily, and expressly waives any claims You may have against the Company, or the Practitioner, for injuries or damages that You may sustain as a result of participating in coaching or classes.
Additional
a. The Client acknowledges that the Practitioner makes no guarantees as to the outcome of the Package.
b. The Practitioner may obtain a set of laboratory test results from a Certified Laboratory in the United States or other laboratory as discussed with the Client, and provide Client with a nutritional interpretation of those test results that Client can use exclusively as an educational tool for personal health, behavior, and lifestyle purposes.
c. The Client’s doctor may use the same or similar test results to diagnose and treat disease, but the Practitioner does not do this. The information provided is not intended to, cannot, and should not be expected to be a substitute for a personal consultation with the Client’s own qualified doctor.
d. The Practitioner does not accept any liability for any failure to identify any medical condition or disease.
e.The Practitioner may provide the Client with information relating to products that the Practitioner believes might benefit the Client, but such information is not to be taken as an endorsement or recommendation. Such products may not be available without a prescription, but the Practitioner does not dispense or prescribe any prescription products.
f. The Practitioner is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information provided.
Confidentiality
This Agreement is considered a mutual non-disclosure agreement. Both Parties agree not to disclose, reveal, or make use of any information learned by either party during discussions, coaching sessions, or otherwise. Client acknowledges that Practitioner may share confidential information or consultations with Practitioner’s contractors or representatives solely for the purpose of fulfilling the obligations of this Agreement. Confidential Information includes, but is not limited to, information disclosed in connection with this Agreement, and shall not include information rightfully obtained from a third party. Both Parties shall keep all Confidential Information strictly confidential by using a reasonable degree of care, but not less than the degree of care used by it in safeguarding its own confidential information. The obligation of the Parties hereunder to hold the information confidential does not apply to information that is subsequently acquired by either Party from a third party who has a bona fide right to make such information available without restriction. Both Parties agree that any and all Confidential Information learned as of the date of purchase shall survive the termination, revocation, or expiration of this Agreement.
Recording of Calls
Client acknowledges that calls may be recorded for purposes of fulfilling this Agreement
Intellectual Property Rights
In respect of the documents specifically created for the Client as part of this Agreement, the Practitioner maintains all of the copyright, other intellectual property rights and any other data or material used or subsisting in the Material whether finished or unfinished. Client receives one license for personal use of any content provided the Practitioner. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Practitioner to the Client, nor grant any right or license other than those stated in this Agreement. For the purposes of this Clause, “Material” shall mean the materials, in whatever form, used by the Practitioner to provide the Services and the products, systems, programs or processes, produced by the Practitioner pursuant to this Agreement.
Disclaimer of Warranties
The Services provided to the Client by the Practitioner under this Agreement are provided on an “as-is” basis, without any warranties or representations express, implied or statutory; including, without limitation, warranties of quality, performance, non-infringement, merchantability or fitness for a particular purpose.
Indemnification
Each party shall indemnify, defend, and hold harmless the other, its current and former employees, or agents, from and against any claims, including third party claims, demands, loss, damage, liability, or expense (including attorney’s fees) relating to a) the negligence, recklessness, or willful misconduct of the indemnifying party or any party under direction or control of the indemnifying party, b) a material breach of this Agreement by the indemnifying party, or c) the damage, loss, or destruction of any property, profit, or revenue (both real or imagined) of the indemnified party, or its clients.
Non-Disparagement
The Parties agree and accept that the only venue for resolving a dispute shall be in the venue set forth herein below. The Parties agree that they neither will engage in any conduct or communications with a third party, public or private, designed to disparage the other. Neither Client nor any of Client’s associates, employees or affiliates will directly or indirectly, in any capacity or manner, make, express, transmit speak, write, verbalize or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support or participate in any of the foregoing), any remark, comment, message, information, declaration, communication or other statement of any kind, whether verbal, in writing, electronically transferred or otherwise, that might reasonably be construed to be derogatory or critical of, or negative toward, the Practitioner or any of its programs, affiliates, subsidiaries, employees, agents or representatives.
Dispute Resolution
If a dispute is not resolved first by good-faith negotiation between the parties to this Agreement, any controversy or dispute to this Agreement will be submitted to the American Arbitration Association. The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place via telephone. The Parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs, including attorneys’ fees) will be absolutely binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan with The United States of America, regardless of the conflict of laws principles thereof. If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and affect and shall in no way be affected, impaired, or invalidated.
Good Faith
Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance and any termination of this Agreement.
Entire Agreement
This Agreement contains the entire agreement between the parties and supersedes all prior agreements between the parties, whether written or oral. No representations, inducements, promises, or agreements which are not embodied herein shall be of any force or effect. This Agreement may not be modified, amended, varied, waived, explained, added to, extended, changed in any way, except by a written instrument executed by a person authorized to execute such an instrument on behalf of both the Client and the Practitioner.

The Fertility Freedom Guarantee
All visits will be conducted via Zoom.
Visits are personalized to your goals and needs. They may include lab interpretation, optimizing diet and nutrition, or incorporating stress management and lifestyle support.
Guidance on Self-Directed Lab Ordering: The Practitioner may recommend additional work-up and/or services in the form of lab work which can be ordered directly by the client or their PCP. These additional recommendations are not covered by the Practitioner under this agreement and are always up to the discretion of the client.
Direct Messaging: Messaging between sessions will be conducted via Spruce. The Practitioner will make every effort to get back to you promptly. Please allow 72 business hours during business hours (Monday - Thursday 9 am 4:30 pm EST) for a response to your questions outside virtual sessions. The Practitioner will also make every effort to keep all communications secure, HIPAA compliant, and confidential, as we will use a secure electronic health portal for the majority of communications. The Client however, acknowledges that communications with Innate Rhythm using other nonsecure email, facsimile, video chat, instant messaging (outside of the one provided by the Holistic Fertility Clinic), cell phone, and voicemail are not guaranteed to be secure or confidential methods of communications and that all such communications may become a part of your records.
The Holistic Fertility Clinic SMS Text Messaging Terms of Service
These SMS Text Messaging Terms of Service (these "SMS Terms") are incorporated into all agreements between you and the Company, including any agreements that are preexisting and any agreements that might be enacted contemporaneously with these SMS Terms.
The Company might use SMS text messaging, from time to time, for certain types of communication with you, including potentially for administrative issues, such as billing, or for health-related issues, such as care reminders.
You agree to receive (you "opt in" to receiving) SMS text messages from The Holistic Fertility Clinic, related to services that we are providing to you. Message and data rates may apply, and message frequency varies. You may text us STOP at any time to opt out of receiving SMS text messages from us. You may text us HELP at any time to receive help.
SMS text messages from the Holistic Fertility Clinic may originate from our organizational phone numbers, including:
There may be terms in other agreements between you and us that also apply to our organization's use of SMS text messaging, such as general terms related to privacy and data handling for our organization that are not specific to SMS text messaging. You agree that you have reviewed all agreements that we have provided you.
Payment Terms

Client agrees to pay 1 x $4997 or 1 x $2,000 + 6 monthly payments of $575 unless otherwise agreed upon.
If the Client has chosen the payment plan, their first monthly payment will be due 30 days after their initial downpayment. If the Client fails to make their monthly payments on time, they will risk suspension of care.
Insurance Reimbursement
The Holistic Fertility Clinic is a strictly out of pocket practice and under no circumstances will documents for insurance reimbursement be available.
Agreement
You understand that by agreeing to this form, you are agreeing to these terms or use and that such ongoing actions in using the services provided by the Holistic Fertility Clinic constitutes a legal signature and ongoing agreement to these terms of use (in whatever form).
